Terms of Service

These terms are an agreement between you and [FILL: legal entity name and form, e.g. “NeetiSense Technologies Private Limited” or “Manoj Kumar Kushwaha, sole proprietor trading as NeetiSense”] (“NeetiSense”, “we”, “us”). They apply to the website at www.neetisense.com, the waitlist, and the NeetiSense application (together, the “Service”). By joining the waitlist or creating an account you accept them. If you do not accept them, please do not use the Service.

Please read section 2 with particular care. It states what NeetiSense is and, more importantly, what it is not.

1. What NeetiSense is

NeetiSense is a quantitative research and analytics platform for Indian equity markets. It lets you study how rule-based strategies would have behaved on historical market data, compare and rank them, assemble them into model portfolios, follow how they evolve over time, and receive notifications about them at endpoints you configure. Everything it produces is analysis of the past and tooling to organise your own thinking.

2. What NeetiSense is not — please read this

  • Not investment advice. Nothing in the Service is a recommendation to buy, sell or hold any security, or an opinion on the suitability of any investment for you. The Service does not know your financial situation, goals or risk tolerance.
  • Not a SEBI-registered adviser or analyst. NeetiSense is not registered with the Securities and Exchange Board of India as an investment adviser or a research analyst, and does not provide the services such registrants provide. If you want advice, consult a SEBI-registered investment adviser.
  • Not a broker, and it places no orders. NeetiSense never holds your money or securities, never connects to your brokerage account, and never executes a trade. If you choose to route notifications to software of your own that acts on them, that software, its connection to your broker, and every order it places are entirely your responsibility and subject to your broker’s and SEBI’s rules.
  • Not a promise about the future. This analysis is based on historical backtest performance and does not guarantee future results. NeetiSense provides decision-support tools, not investment advice. Backtests simplify reality: they cannot fully capture liquidity, slippage, taxes, corporate actions, data errors or your own execution. Investment in securities markets is subject to market risk, including the loss of the amount invested.

Every decision to invest, and every outcome of it, is yours alone. You agree that you use the Service as one input to your own judgement and not as a substitute for it.

3. Beta status

The Service is currently in beta: a pre-release version offered so that we can learn from real use. This means features may change or be removed without notice, the Service may be unavailable at times, errors are more likely than in a finished product, and data you create in the beta may be reset or lost when we upgrade or rebuild it. Do not rely on the beta for anything you cannot afford to have interrupted.

4. Your account

  • You must be at least 18 years old and able to enter into a binding contract.
  • You must give accurate information and keep it current.
  • You are responsible for keeping your password secret and for everything done under your account. Tell us at once at manoj@neetisense.com if you believe it has been compromised.
  • One person, one account. Accounts are personal and may not be shared, sold or transferred.
  • Access to the beta is by invitation and may be withdrawn at our discretion.

5. Plans and fees

Plans are described inside the application. During the beta, plans are set up for you by us, and there is no online billing. If we introduce paid plans, prices and payment terms will be shown before you are charged, and you will be able to accept or decline them. We may change plans and prices with reasonable notice; changes do not apply to any period you have already paid for.

6. Acceptable use

You agree not to:

  • use the Service for anything unlawful, or in breach of securities regulations that apply to you;
  • present the Service’s output to others as investment advice or as your own recommendation, or resell, redistribute or republish its output, strategies or data, in whole or in part;
  • copy, scrape, crawl or bulk-download the Service, its strategy library or its data, or access it by any automated means other than the features we provide for that purpose;
  • reverse-engineer, decompile or attempt to extract the source code, models or strategy logic of the Service;
  • probe, overload or interfere with the Service or its security, or use another person’s account;
  • use the waitlist form with an address that is not yours.

7. Notifications and endpoints you configure

The Service can send notifications about strategy events to an email address or a web endpoint that you specify. We deliver them on a best-effort basis: delivery may be delayed, duplicated or fail, and a notification may be issued and later revised. You are responsible for the security of the endpoint you configure, for the secret used to sign messages to it, and for whatever the receiving system does. We are not a party to anything that happens downstream of delivery.

8. Intellectual property

The Service, including its software, strategy library, models, scoring methods, data compilations, design and text, belongs to NeetiSense or its licensors and is protected by copyright and other laws. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these terms. You keep ownership of the inputs and settings you create; you grant us the right to store and process them to run the Service for you. If you send us suggestions, we may use them without obligation to you.

9. Third-party data and services

Market data in the Service comes from third-party providers and may be delayed, incomplete or wrong. We do our best to detect and correct problems but cannot guarantee accuracy. The Service also depends on infrastructure providers named in our Privacy Policy; their outages are outside our control.

10. No warranty

The Service is provided “as is” and “as available”, without warranty of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, availability or non-infringement, to the fullest extent permitted by law.

11. Limitation of liability

To the fullest extent permitted by law, NeetiSense and the people who run it will not be liable for any trading or investment loss, loss of profit, loss of data, or any indirect, incidental, special or consequential loss arising from your use of, or inability to use, the Service, however caused. Our total liability to you for all claims together will not exceed the amount you paid us for the Service in the three months before the claim arose, or, if you paid nothing, one thousand rupees (₹1,000). Nothing in these terms limits liability that cannot be limited under Indian law, including for fraud.

12. Indemnity

You agree to indemnify NeetiSense against claims, losses and reasonable costs arising from your breach of these terms, your misuse of the Service, or any order placed by software you connected to the Service.

13. Suspension and termination

You may close your account at any time by writing to manoj@neetisense.com. We may suspend or close your account if you breach these terms, if the law requires, or if we discontinue the Service; where reasonable, we will give you notice. Sections 2, 8 and 10 to 15 survive termination.

14. Governing law and disputes

These terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts at [FILL: City, State], India. Before starting proceedings, please write to us; most issues can be resolved directly.

15. General

These terms and the Privacy Policy are the whole agreement between us about the Service. If any part is found unenforceable, the rest continues to apply. Our not enforcing a term is not a waiver of it. We may change these terms; we will update the dates at the top and, for material changes, notify account holders by email before they take effect. Continued use after that date means you accept the new terms.
